Squire Patton Boggs advises on acquisition financing for Europoles Group
Squire Patton Boggs in Poland advised a banking consortium led by Banco Comercial Português, S.A. and Novo Banco, S.A. on the financing of the acquisition of certain Europoles Group’s European divisions by Metalogalva – Irmãos Silvas S.A., a member of the VigentGroup.
Portuguese company Metalogalva specializes in the design and manufacturing of metal structures and operates globally in various sectors, including renewable energy, telecommunications, roads and railways.
The acquisition in Poland related to the assets of Europoles Sp. z o.o. in bankruptcy, with its main plant in Krągola near Konin, sold by the bankruptcy administrator for PLN 50,169,501.94.
Europoles is Europe’s leading manufacturer of poles for lighting, urban mass transit and the energy sector, present on the market for the past 120 years. Europoles additional divisions are located in Germany.
The Squire Patton Boggs team was led by senior partner Peter Święcicki in Warsaw and included partner Marcin Wnukowski and of counsel Michał Smolny.
The law firm of Campos Ferreira, Sá Carneiro CS ASSOCIADOS was lead counsel to the bank consortium in Portugal, and Herbert Smith Freehills LLP advised on German law issues and documentation.
